We are the operating team of OPENYC, operating the website https://openyc.vip (hereinafter referred to as the “Website”) and any other related products and services that reference or link to these Legal Terms (collectively referred to as the “Service”).
We provide an AI agent platform for professional tasks.
These Legal Terms (the “Agreement”) constitute a legally binding agreement between you (whether an individual or acting on behalf of an entity, “you”) and OPENYC regarding your access to and use of the Service. Your access to the Service shall be deemed as your acknowledgment that you have read, understood, and agreed to be bound by all terms of this Agreement. If you do not agree to all terms of this Agreement, you are expressly prohibited from using the Service and must cease use immediately.
Any supplementary terms, conditions or documents that we may post on the Service from time to time are hereby expressly incorporated into this Agreement by reference. We reserve the right to change or modify this Agreement at our sole discretion from time to time. We will notify you of any changes by updating the “Last Updated” date of this Agreement, and you waive the right to receive specific notice of each such change. You are responsible for regularly reviewing this Agreement for updates. Your continued use of the Service following the posting of any revised version of this Agreement shall be deemed as your acknowledgment and acceptance of such revisions.
We recommend that you print a copy of this Agreement for your records.
1. Our Service
The information provided through the use of the Service is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation, or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Service from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
The Service is not customized to comply with regulatory requirements for specific industries (such as the Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.). Therefore, you may not use the Service if your interactions will be subject to such laws. You shall not use the Service in a manner that violates the Gramm-Leach-Bliley Act (GLBA).

We are the owner or licensee of all intellectual property rights in the Service, including all source code, databases, functionality, software, website design, audio, video, text, photographs and graphics in the Service (collectively, the “Content”), as well as the trademarks, service marks and logos contained therein (the “Marks”).
Our Content and Marks are protected by copyright laws, trademark laws (as well as various other intellectual property and unfair competition laws) and treaties of the People’s Republic of China and worldwide.
The “Content” and “Marks” provided on or through the Service are provided “as is” for your personal, non-commercial use or internal business purposes only.
Your Use of Our Service
Subject to your compliance with this Agreement (including the “Prohibited Activities” section below), we grant you a non-exclusive, non-transferable, revocable license to:

Download or print copies of any portion of the Content for which you have duly obtained access rights.
Such license is granted solely for your personal, non-commercial use or internal business purposes.
Unless otherwise provided in this section or elsewhere in this Agreement, no part of the Service, and no Content or Marks, may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission.
If you wish to use the Service, Content or Marks for any purpose other than as permitted in this section or elsewhere in this Agreement, please send your request to: allensong1019@gmail.com. If we grant you a license to publish, reproduce or publicly display any part of our Service or Content, you must identify us as the owner or licensor of the Service, Content or Marks, and ensure that any copyright or proprietary notices appear or are visible when you publish, reproduce or display our Content.
We reserve all rights in the Service, Content and Marks that are not expressly granted to you.
Any breach of these intellectual property rights shall constitute a material breach of this Agreement, and your right to use our Service shall terminate immediately.
Your Submissions and Contributions
Before using our Service, please carefully read this section and the “Prohibited Activities” section to understand (a) the rights you grant to us and (b) the obligations you undertake when you post or upload any content through the Service.

Submissions: By sending us directly any questions, comments, suggestions, ideas, feedback or other information regarding the Service (the “Submissions”), you agree to assign all intellectual property rights in such Submissions to us. You agree that we shall own such Submissions and shall have the unrestricted right to use and disseminate them for any lawful purpose (commercial or otherwise) without acknowledgment or compensation to you.

Contributions: The Service may invite you to chat, contribute to, or participate in blogs, message boards, online forums and other functionality, through which you may create, submit, post, display, transmit, publish, distribute or broadcast content and materials to us or through the Service, including but not limited to text, writings, video, audio, photographs, music, graphics, comments, ratings, suggestions, personal information or other materials (the “Contributions”). Any publicly posted Submissions shall also be deemed Contributions.
You understand that Contributions may be viewed by other users of the Service.
By posting any Contributions, you grant us a license (including the use of your name, trademarks and logos):
By posting any Contributions, you grant us an unlimited, unrestricted, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully paid-up, worldwide right and license to: use, copy, reproduce, distribute, sell, resell, publish, broadcast, rename, store, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part) and exploit your Contributions (including but not limited to your image, name and voice), create derivative works or incorporate them into other works, and sublicense the rights granted under this section, for any purpose (commercial, advertising or otherwise). Our use and distribution may occur in any media formats and through any media channels.
